São Martinho and Amyris Joint Venture

São Paulo, July 1st , 2015 - São Martinho S.A. (BM&FBovespa: SMTO3; Reuters: SMTO3 SA and Bloomberg: SMTO3 BZ), one of Brazil‘s largest sugar and ethanol producers, in compliance with CVM Instruction 358/02 and the best practice of corporate governance, announces that certain contractual targets undertaken by Amyris have not been achieved, which affects the feasibility of the project. Therefore, São Martinho has decided not to approve continuing construction on the plant for the Joint Venture with the U.S. company Amyris Inc and its Brazilian subsidiary Amyris Brasil Ltda.

Amyris may provide new information related to the feasilibity of the project aiming to discuss a potential new agreement. However, the Joint Venture and other agreements between the parties shall be automatically terminated on August 31, 2015, if by said date a new agreement, at the discretion of São Martinho, is not executed.

São Martinho clarifies that it has not made any injections into the Joint Venture, which were scheduled to be made only after the startup of the plant.
